\nSoftIntegration Ch Standard Edition End-User License Agreement<\/p>\n
The undersigned (“You,” “Licensee” or “End User”) and
\nSoftIntegration, Inc. (“SoftIntegration”) agree as follows:<\/p>\n
SOFTINTEGRATION IS PROVIDING THE LICENSED SOFTWARE FOR YOUR USE
\nON A NONEXCLUSIVE BASIS UPON THE CONDITION THAT YOU ACCEPT ALL
\nOF THE TERMS SET FORTH BELOW. IF YOU ARE NOT WILLING TO ACCEPT
\nTHESE TERMS AND CONDITIONS, DO NOT INSTALL THE LICENSED SOFTWARE.<\/p>\n
1. Legal Agreement. This is a legal agreement between You
\n(the End User, either an individual or an entity) and
\nSoftIntegration. By installing this Licensed Software, You
\nindicate Your acceptance of this Agreement. If You do not agree
\nto all of the terms of this Agreement, promptly return the
\nLicensed Software and all related materials to SoftIntegration
\nat the address written below. If You are accessing the Licensed
\nSoftware electronically, indicate Your acceptance of these terms
\nby selecting the “Yes” in response to the question “Do You
\naccept all the terms of the preceding License Agreement?” during
\nthe installation. If You do not agree all of these terms, select
\n“No” in response to the same question.<\/p>\n
2. Grant of License. Subject to the terms and conditions of this
\nAgreement, SoftIntegration grants You (Licensee) a non-exclusive
\nand non-transferable license as an End User, to install and use
\nthe SoftIntegration Ch Standard Edition version 7.0
\nin both binary and source code form and related
\nuser documentation (“Licensed Software”) for personal or
\ninternal business purposes. This license does not entitle
\nLicensee to receive from SoftIntegration hard-copy documentation
\nand technical support.<\/p>\n
3. Fees. There is no license fee for the Licensed Software.
\nIf Licensee wishes to receive the Licensed Software on media,
\nthere may be a small charge for the media and for shipping and
\nhandling. Licensee is responsible for any and all taxes.<\/p>\n
4. No Modification of Licensed Software. Licensee shall not
\nmodify, reverse engineer, decompile, disassemble or translate
\nthe Licensed Software or related documentation, or apply any
\nother procedure or technology to the Licensed Software so as to
\ndetermine the source listings for the Licensed Software.<\/p>\n
5. No Assignment, Transfer or Disclosure. Licensee shall
\nnot transfer, disclose, disseminate, provide or otherwise make
\navailable all or any part of the Licensed Software or
\ndocumentation to a third party without the prior written consent
\nof SoftIntegration. Licensee shall not disclose the results of
\nany benchmark tests of the Licensed Software to any third party
\nwithout SoftIntegration’s prior written approval. Neither the
\nLicensed Software nor this Agreement may be assigned or
\notherwise transferred by Licensee.<\/p>\n
6. No Right to Sublicense. Licensee shall not distribute,
\nrent, sell, lease or sublicense all or part of the Licensed
\nSoftware or documentation to any person. Licensee agrees it
\nwill not use or grant any right to use the Licensed Software or
\nany portion thereof except as authorized herein, and that it
\nwill not make or have made, or permit to be made, any copies of
\nthe Licensed Software, other than a single copy of the Licensed
\nSoftware for archival purposes only. Any such archival copy
\nshall contain the same proprietary notices or legends which are
\napplicable to such portions thereof. The software may contain
\nopen source components identified and governed by licenses
\nin the directory CHHOME\/license or CHHOME\/toolkit\/license
\nwhere CHHOME is the home directory in which Ch will be installed.
\nThose open source components are governed by their licenses
\nin the above directories.<\/p>\n
7. Disclaimer of Warranty. THE SOFTWARE IS PROVIDED “AS IS”
\nWITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY
\nAPPLICABLE LAW, SOFTINTEGRATION FURTHER DISCLAIMS ALL WARRANTIES,
\nINCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF
\nMERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND
\nNONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR
\nPERFORMANCE OF THE SOFTWARE REMAINS WITH RECIPIENT.<\/p>\n
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
\nSOFTINTEGRATION OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL,
\nINCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES
\nWHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
\nBUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION,
\nOR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE
\nTHE SOFTWARE, EVEN IF SOFTINTEGRATION HAS BEEN ADVISED OF THE
\nPOSSIBILITY OF SUCH DAMAGES. <\/p>\n
8. High-Risk Activities. The Licensed Software is not fault
\ntolerant and is not designed, manufactured or intended for use
\nin hazardous environments requiring fail-safe performance
\n(including, without limitation, the operation of nuclear
\nfacilities, aircraft navigation or communication systems, air
\ntraffic control, direct life support machines, or weapons
\nsystem), in which the failure of the Licensed Software could
\nlead directly or indirectly to death, personal injury, or severe
\nphysical or environment damage. SoftIntegration and its
\nsuppliers specifically disclaim any express or implied warranty
\nof fitness for any high-risk uses specified above.<\/p>\n
9. Ownership. Licensee agrees it has no rights with respect
\nto the Licensed Software other than those rights granted by this
\nAgreement. SoftIntegration has retained and will retain all
\nownership rights to the Licensed Software and documentation,
\nincluding all patent rights, copyrights, trademarks, service
\nmarks, related goodwill, and confidential and proprietary
\ninformation relating thereto.<\/p>\n
10. Termination. The license will terminate automatically
\nif you fail to comply with the limitations described herein.
\nOn termination, you must destroy all copies of the
\nLicensed Software and Documentation.<\/p>\n
11. Return of Licensed Software Upon Termination. In the
\nevent this License Agreement is terminated, Licensee agrees to
\nreturn to SoftIntegration the Licensed Software and to provide
\nSoftIntegration with a signed and dated written certification
\nthat Licensee has destroyed all of its copies of the Licensed
\nSoftware. Such return and notice must be received by
\nSoftIntegration within fifteen (15) days following notice of
\ntermination.<\/p>\n
12. Export Regulations. Licensee acknowledges that the
\nLicensed Software is subject to United States export control
\nlaws and regulations. Licensee agrees that it will not export
\nthe Licensed Software to any country or end-user that is subject
\nto United States export restrictions, or imported into any
\ncountry except as permitted by the laws and regulations of the
\napplicable country.<\/p>\n
13. No Modification or Waiver. This Agreement may be
\namended, modified or supplemented only by a written instrument
\nexecuted by the parties hereto. SoftIntegration shall be deemed
\nnot to have assented to any variations in the terms of this
\nAgreement or to different terms unless such assent is express,
\nincludes an express waiver of the applicable terms of this
\nAgreement, and is in writing and signed. Moreover, any waiver is
\nonly for the particular matter specified therein, and shall not
\naffect or impair the right of SoftIntegration to require
\nobservance, performance or satisfaction either of that term or
\ncondition as it applies on a subsequent occasion or of any other
\nterm or condition.<\/p>\n
14. Compliance with Laws. Use, duplication or disclosure of
\nthe programs and documentation by the United States Government
\nis subject to restrictions as set forth in subparagraph
\n(c)(1)(ii) at DOD Supplement to the Federal Acquisition
\nRegulations (“DFAR”) or subparagraphs (c)(1) and (2) of
\nCommercial Computer Software-Restricted Rights at 48 CFR
\n52.227-19.<\/p>\n
15. Governing Law; Venue The rights and obligations of the
\nparties and the interpretation and enforcement of this Agreement
\nshall be governed by and construed in accordance with the laws
\nof the State of California, excluding its conflict of laws
\nrules. The exclusive venue of any action arising out of this
\nAgreement shall be the State or federal courts located in
\nSacramento, California. The application of the United Nations
\nConvention on Contracts for the International Sale of Goods to
\nthis Agreement is expressly excluded.<\/p>\n
